Terms of Service

By accessing or using the Vida Ads platform, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all users of the platform, including affiliates, vendors, advertisers, and any other party who accesses the Services.

Vida Ads operates a cost-per-action (CPA) affiliate marketing network connecting advertisers ("Vendors") with performance marketers ("Affiliates"). Our platform facilitates the tracking, reporting, and payment of affiliate commissions for sales generated through approved marketing channels. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice.

To use the Services, you must: • Be at least 18 years of age. • Have the legal capacity to enter into a binding agreement. • Not be prohibited from using the Services under applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at legal@vidaads.com if you suspect any unauthorized use of your account.

As an affiliate, you agree to: • Promote offers only through approved marketing channels disclosed during registration. • Comply with all applicable laws, including advertising disclosure regulations (e.g., FTC guidelines). • Not use spam, misleading content, incentivized traffic, or fraudulent methods to generate conversions. • Not bid on brand keywords or use our trademarks in paid search campaigns unless explicitly authorized. • Accurately represent all products and services you promote. Vida Ads reserves the right to withhold or reverse commissions in cases of suspected fraud, policy violations, or chargebacks. Repeated violations may result in account termination.

As a vendor, you agree to: • Provide accurate and complete information about your products, offers, and commission structures. • Honor all approved conversions and pay commissions in accordance with the agreed schedule. • Not engage in conversion shaving, pixel fraud, or any other practice that artificially reduces legitimate affiliate commissions. • Ensure your offers comply with all applicable laws and regulations in all territories where they are promoted. • Maintain customer service standards and honor refund/return policies as stated in your offers. Vida Ads acts as an intermediary and is not liable for disputes between affiliates and vendors regarding the quality or legality of products or services.

Commission rates, payment thresholds, and payment schedules are established per offer and communicated within the platform. Vida Ads processes affiliate payments on a weekly basis, subject to: • Meeting the minimum payment threshold. • Holding periods for fraud review (typically 7–14 days after the reporting period). • Correct and verified payment details on file. Vida Ads reserves the right to withhold payments pending investigation of suspected fraudulent activity. All payments are final once processed, except in cases of documented error.

You agree not to engage in any of the following: • Using automated tools, bots, or scripts to generate fraudulent traffic or conversions. • Attempting to reverse-engineer, decompile, or hack any part of the platform. • Uploading malware, viruses, or any code designed to disrupt the Services. • Infringing on the intellectual property rights of Vida Ads or any third party. • Engaging in any conduct that violates applicable laws or regulations. • Harassing, abusing, or threatening other users of the platform. Violation of these prohibitions may result in immediate account suspension, forfeiture of pending commissions, and legal action where appropriate.

All content, trademarks, logos, and materials on the Vida Ads platform are the property of Vida Ads or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You may not reproduce, distribute, modify, or create derivative works from our content without our express written consent.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Vida Ads does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIDA ADS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. Our total liability to you for any claims arising under these Terms shall not exceed the total commissions paid to you by Vida Ads in the three (3) months preceding the claim.

You agree to indemnify, defend, and hold harmless Vida Ads and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Either party may terminate the relationship at any time. Vida Ads reserves the right to suspend or terminate your account immediately, without prior notice, for any breach of these Terms or any conduct that Vida Ads determines, in its sole discretion, to be harmful to the platform or other users. Upon termination, your right to use the Services ceases immediately. Pending commissions may be forfeited if termination is due to policy violations.

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or a prominent notice on the platform. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of those changes.
